PARAGENT™ LICENSE AGREEMENT

This License Agreement ("Agreement") is a legal understanding between WALLSTREET FINANCIAL GROUP, the exclusive global operator of the Paragent™ brand and licensing system (hereinafter referred to as the “Licensor”), and any person or entity that clicks "I AGREE" to these terms (hereinafter referred to as the "LICENSEE").

By clicking “I AGREE,” the LICENSEE acknowledges and accepts all terms and conditions below.

This Agreement grants the LICENSEE a non-exclusive, non-transferable, revocable license to use the Paragent™ brand, system, and educational content for the sole purpose of acting as an Authorized Paragent™ Licensed Partner.

This license authorizes the LICENSEE to promote, educate, and operate within the Paragent™ ecosystem, aligned with its mission of ethical, legal, and compliant financial education.

The LICENSEE is permitted to:

• Use the Paragent™ name, trademark, and visual identity for outreach and education
   
• Present themselves as an Official Licensed Paragent™ Partner
   
• Access and share certified course content, presentations, and digital materials
   
• Onboard new Certified Paragents™ through official trainings
   
• Operate educational campaigns using co-branded material
   
• Receive a 40% affiliate commission on all course sales of PARAGENT™ made through Hotmart Online Plataform (www.hotmart.com) using the LICENSEE’s unique tracking link, as long as the license remains active
   

The LICENSEE agrees to:

• Never offer financial advice, manage investments, or sell financial products under the Paragent™ name
   
• Only use Paragent™ branding for educational purposes, not advisory, sales, or speculative investment
   
• Avoid any illegal, deceptive, or misleading use of the Paragent™ identity
   
• Respect local laws, regulations, and financial compliance in all markets of operation
   
• Not register or attempt to register the Paragent™ brand or derivatives in any jurisdiction or country.
   
• Not sublicense, sell, or assign the license to any third party without written authorization.
   

LICENSEE agrees to operate under Paragent™ educational standards, including:

• Clear separation between education and financial advice
   
• Use of Role Declaration Statements and Lead Referral Forms, where applicable
   
• Annual confirmation of legal compliance via the Compliance Attestation
   
• Respect for the Paragent™ Code of Ethics, available in the Licensing Manual
   
• Cooperation with audits, reviews, or quality control actions initiated by the Licensor
   

• The license is valid for 12 months from the date of acceptance, renewable upon continued compliance and payment (if applicable)
   
• Either party may terminate the agreement with 30 days’ written notice
   
• The Licensor may terminate access immediately if misuse, legal violation, or brand damage is detected
   

Upon termination, the LICENSEE must:

• Cease using the Paragent™ name, materials, and identity in any form
   
• Remove all visual and digital presence associated with Paragent™
   
• Stop promoting or affiliating with any Paragent™ educational products
   

All intellectual property remains solely owned by WALLSTREET FINANCIAL GROUP. No ownership is transferred under this agreement. Use of brand elements is conditioned on continued compliance and active licensing.

The LICENSEE agrees to indemnify, defend, and hold harmless the Licensor from any legal liability, damages, claims, or third-party actions arising from the LICENSEE's misuse, misrepresentation, or unauthorized conduct.

This Agreement is governed by the laws of the State of Florida, United States. Any dispute shall be resolved under the jurisdiction of the courts located in Florida.

This document represents the full agreement between the parties. The Licensor reserves the right to update this Agreement periodically. Continued use of the license after any update constitutes agreement to the new terms.

• You are legally authorized to act on behalf of yourself or your organization
   
• You agree to operate within the educational, ethical, and compliant framework of the Paragent™ System
